About the Role
The Associate Counsel – Legal and Company Secretary will support and work on a range of legal issues affecting the company, among them contracting, secretarial compliance and regulatory matters. The ideal candidate will be responsible for in-house legal matters including drafting agreements, addressing compliance issues, and participating in negotiation discussions and compliance initiatives.
What You will do
Statutory Responsibilities:

Conduct Board Meetings and General Meetings of the company and prepare all necessary papers in connection with these meetings including statutory reports, resolutions and minutes.

Compliance with Company Law, Foreign Exchange and Reserve Bank norms and other relevant applicable regulatory requirements of the Company.

Maintaining Statutory Books/Registers and filing relevant forms and returns applicable to the company.

Ensuring compliance of the secretarial standards applicable to the Company.

Managing CSR compliances applicable to the company.

Ensure effective communication and interaction with Directors, global secretarial team members and other stakeholders.

Supporting Finance team in addressing queries raised by Statutory Auditors.
Legal Responsibilities:

Draft, review, negotiate contracts with clients and third parties.

Maintain repository of agreements by effective data records management through CLM tool.

Advise on legal issues and risks, approval processes, company policies and procedures.

Provide in-house legal support in relation to local legislation.
What you will need
-
3-4 years’ PQE negotiating contracts with client legal & procurement departments.

ACS membership with ICSI preferred, LLB degree an added plus
-
Experience in handling Secretarial/Board related matters of a private company.

Relevant experience in a previous US MNC will be preferable, though not mandatory.

Outstanding analytical and communication (written and verbal) skills.

Excellent problem-solving, advisory, negotiation and drafting skills.
